• Facilitating introductions and communications between US-based scrap metal suppliers and international buyers.
• Providing information and resources related to scrap metal types, pricing, and international trade.
• Coordinating or assisting with logistics, freight forwarding, and export documentation.
• Publishing general industry content and updates via the Site.

Metal Sourcing Solutions acts solely as an intermediary and facilitator. We are not a buyer, seller, or shipper of record for any transaction. We are not responsible for the quality, safety, legality, or availability of any metals or goods offered by suppliers, nor are we responsible for buyers' ability to complete purchases or comply with import requirements in their respective jurisdictions. Users are solely responsible for conducting their own due diligence before entering into any business arrangement.

By using this Site, you represent that you are at least 18 years of age, have the legal authority to enter into binding agreements on behalf of yourself or your organization, and will use the Site only in compliance with these Terms and all applicable laws. This Site is intended for business use only and is not designed for personal, household, or consumer purposes.

To the maximum extent permitted by applicable law, Metal Sourcing Solutions, its officers, directors, employees, agents, affiliates, licensors, and service providers shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages arising from your use of or inability to use the Site.
• Damages resulting from transactions, disputes, or arrangements between buyers and sellers facilitated through the Site.

This limitation applies regardless of the theory of liability — contract, tort, negligence, strict liability, or otherwise — and even if Metal Sourcing Solutions has been advised of the possibility of such damages. In all cases, our aggregate liability to you shall not exceed the greater of (a) the amount you paid us in the three (3) months preceding the claim, or (b) one hundred US dollars ($100.00).

You agree to indemnify, defend, and hold harmless Metal Sourcing Solutions and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including trade and export control laws; (d) any transaction you enter into with a buyer or supplier through our platform; or (e) any content or information you submit through the Site.

We reserve the right, in our sole discretion, to suspend or terminate your access to the Site at any time and for any reason — including if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or acted in a way that harms other users or our business. Upon termination:

• Your right to access and use the Site will immediately cease.
• We may retain records of your activity as required by law or for legitimate business purposes.
• All provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property rights, disclaimers, limitation of liability, and governing law.

You may also terminate your use of the Site at any time by discontinuing access.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Metal Sourcing Solutions is incorporated or primarily operates, without regard to conflict of law principles.

Any dispute arising out of or related to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English in the United States. Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access. You agree that any claims must be brought in your individual capacity and not as part of a class action or collective proceeding.

Our platform facilitates the international trade of scrap metals, which is subject to United States export control laws, including regulations administered by the U.S. Department of Commerce, the U.S. Department of State, and the U.S. Treasury Office of Foreign Assets Control (OFAC). By using our Site, you represent that you are not located in, operating from, or acting on behalf of any individual or entity in a country subject to U.S. embargo or listed on any U.S. government restricted or denied-party list. You are solely responsible for ensuring your compliance with all applicable trade regulations.

We reserve the right to modify these Terms at any time. When we do, we will update the effective date at the top of this page. Material changes may be communicated via a notice on the Site. Your continued use of the Site after such changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
